Billing Policy

This Billing Policy applies to all products, services, and subscriptions provided by Sherwood Consulting, LLC ("we", "us", "our", or "Company").

1. Account Registration

1.1 You are required to create an account and provide accurate billing information, including valid credit/debit card information, to use or access any of our paid products or services.

2. Pricing and Taxes

2.1 Our prices are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes, levies, or duties, excluding only United States (if any) taxes based on Company's income.

3. Payment Terms

3.1 Payments are due on the date specified on your invoice or, if not specified, upon receipt of your invoice.

3.2 You agree to pay all charges for your use of any service at the prevailing rates, including any overage fees or additional services.

4. Late Payment

4.1 Any amounts not received by us by the due date may accrue late interest at 3% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid. We reserve the right to terminate service for nonpayment or late payment at our discretion.

5. Automatic Renewal of Subscriptions

5.1 Any subscription for services that you have with us will continue indefinitely until terminated in accordance with the Agreement. After your initial subscription period, and again after any subsequent subscription period, your subscription will automatically renew for an additional equivalent period, at the price you agreed to when subscribing.

6. Refunds and Cancellations

6.1 We do not offer refunds or credits for unused or partially used subscription periods.

6.2 You may cancel your subscription at any time, and you will continue to have access to your subscription through the end of your current subscription period.

7. Reimbursable Expenses

7.1 Occasionally, it may be necessary for us to incur expenses on your behalf in the course of delivering our services. These might include, for example, costs related to third-party software licenses, travel, or other necessary expenditures that arise directly from the work we're doing for you. In recognition of the time and effort involved in managing these expenses and the fees associated with processing credit card payments, we apply a mark-up of 10% to all reimbursable expenses.

8. Upgrading and Downgrading Plans

8.1 Upgrades or downgrades to your subscription will take effect immediately. Charges for the new plan will be prorated based on the number of days remaining in your current billing cycle.

9. Changes to our Billing Policy

9.1 We reserve the right to modify this Billing Policy at any time. Your continued use after the effective date of the revised Billing Policy constitutes acceptance of the terms.

10. Contact Information

10.1 If you have any questions or concerns about this Billing Policy, please contact us at [email protected].

11. Master Services Agreement

11.1 If a Master Services Agreement is active, it will take precedence over this policy in the event of any conflicts.
